to Benefit the University of Tennessee Foundation

McLemore Auction Company, LLC sold via absolute auction more than 270 original works by the internationally renowned artist, Paul Penczner. Upon his death in 2010, Mr. Penczner donated his entire personal collection of his own work to establish an endowment in the artist's name in the UTHSC Department of Physiology. Art included 9 pen-and-ink works from the Jesus Christ and the Twelve Apostles series given to the Vatican in Rome and accepted for exhibition by Pope John Paul II in 1989. Also included in the sale were 13 "Wanda" portraits which depict one of Penczner's favorite subjects, Wanda Wilson, the former owner of the P&H Café in Memphis.

All sale proceeds of the Penczner collection benefited the University of Tennessee Foundation. The works were available for a special public auction preview at the W.O. Smith School of Music on March 25.

  1. Disclaimer:
    All lots sell as is, where is, with all faults. McLemore Auction Company, LLC and the seller do not give or make any type of guarantee or warranty regarding the lots to be sold, implied or otherwise. McLemore Auction Company, LLC encourages all bidders to inspect lots in person before bidding. McLemore Auction Company, LLC is not responsible for incorrect listing information, if any. McLemore Auction Company, LLC has attempted to provide accurate descriptions of all items, however, it is the bidder's responsibility to determine the condition and suitability of each lot. Printed statements or descriptions by McLemore Auction Company, LLC staff are provided in good faith and are matters of opinion.
  2. No Reserves:
    Each lot will sell to the highest bidder without reserve.
  3. No Buybacks:
    All sellers are contractually prohibited from bidding on lots they have consigned to the auction.
  4. No Returns:
    All sales are final. There are no returns, refunds, or adjustments.
  5. Buyer's Premium:
    A buyer's premium of ten percent (10%) of the high bid will be added to the high bid to determine the final sales price for the auction lot.
  6. Sales Tax:
    McLemore Auction Company, LLC will not collect sales tax on items in this auction.
  7. Payment:
    Payment in full is due at the conclusion of the auction. Payment may be made at 1125 8th Avenue South Nashville, TN, 37203. All bidders must pay for their purchases no later than 4:00 PM CT on Wednesday, March 26th, 2014.

    McLemore Auction Company, LLC accepts the following forms of payment:

    Merchandise becomes the full responsibility of the bidder at time of payment and the bidder assumes all risk of loss and damage to property at that time. McLemore Auction Company, LLC reserves the right to resell any property not paid for in full by the conclusion of the stated pickup period. In any such event, the bidder will still be responsible for payment for the original purchase and the costs of collection of this payment and/or damages resulting from the resale of the property.
  8. Inspection:
    All items in this auction are available for inspection at 1125 8th Avenue South Nashville, TN, 37203 according to the schedule below.

  9. Pickup:
    All items, may be picked up from 1125 8th Avenue South Nashville, TN, 37203 once McLemore Auction Company, LLC has received and acknowledged payment in full. Bidders are responsible for rigging, loading, and moving all items purchased without assistance from McLemore Auction Company, LLC.

    Pickup Date:
    Thursday, March 27th, 9:00 AM - 12:00 PM CT

    All items must be removed from the auction location by 12:00 PM CT on Thursday, March 27th, 2014.

    Any items not removed by this time will be considered abandoned property. McLemore Auction Company, LLC reserves the right to resell the items and retain all sales proceeds as payment for accumulated, unpaid storage and handling.
  10. Shipping:
    Shipping for this auction will not be provided by McLemore Auction Company, LLC. McLemore Auction Company, LLC will gladly facilitate shipping with third party moving/shipping companies. There are several moving/shipping companies that are willing to provide shipping services for this auction.

  11. Auction Ending:
    Beginning at the stated closing time, the auction software will conclude bidding for five lots each minute in catalog order with the following exception: if a bid is placed in the last five (5) minutes remaining for that auction lot, bidding for that lot will remain open for an additional five (5) minutes.
  12. Extension Groups:
    This auction uses the extension groups bidding feature. Some auction lots in this auction have been placed in extension groups. Any bid within the last five minutes of bidding for an auction lot that causes an automatic extension of bidding on that auction lot will automatically extend the bidding on ALL auction lots in that extension group. When no more bidding has occurred on any assets in an extension group for the specified time, then bidding on all assets in that extension group will close simultaneously.   13. Outbid Notification:
    Until the auction begins to close, the bidding software will notify bidders by email when they have been outbid. After that, bidders may find out if they have been outbid by clicking the "Review Bids" button at the bottom of each page. Items the bidder is no longer winning will be marked with a red indicator.
  14. Debt Collection and Interest Charges:
    The bidder agrees to pay all reasonable attorney fees and other costs incurred by McLemore Auction Company, LLC in its efforts to collect unpaid funds from the bidder. The bidder agrees that a fee of 2% of the outstanding balance per month be added to any unpaid balance due McLemore Auction Company, LLC. Any debt collection or dispute proceedings will be heard in Davidson County, Tennessee.
  15. Guaranty Agreement:
    By submitting a bid in the name of a business entity or corporation, the individual submitting the bid enters into a guaranty agreement whereby he or she personally guarantees payment to McLemore Auction Company, LLC of any bid amount not paid when due by the business entity or corporation, for any reason, together with all collection expenses incurred to enforce collection, including a reasonable attorney's fee.
  16. Limitation of Liability:
    If, for any reason, McLemore Auction Company, LLC is unable to make available or deliver any Purchase, or portion thereof, or documentation required in respect of any Purchase, the sole liability of McLemore Auction Company, LLC, if any, shall be the return of monies paid in respect of such Purchase upon its return by Purchaser.
  17. Age Requirement:
    All bidders must be 18 years of age or older.
  18. Bidder Information and Security:
    All registration information the bidder provides to McLemore Auction Company, LLC shall be current, complete, and accurate. All bidders are responsible for any bids placed under their bidding numbers and passwords. The security of bidder information is the responsibility of the bidder. Bidders must notify McLemore Auction Company, LLC if they believe that their bidder number and password have been compromised.
